Software License Agreement and Limited Warranty Please read this License Carefully. This is a legal agreement between you ("Licensee") and VDS Technologies concerning the AspMap for .NET(TM) component("Software").The enclosed software and documentation are licensed by VDS Technologies to Licensee for use only on the terms described in this License Agreement (this "License"). Installing and/or using the Software indicates that the end user accepts and agrees to comply with these terms. 1. DEVELOPER LICENSE. (a) VDS Technologies hereby grants to Licensee a worldwide, non-exclusive license to use this Software on a single development computer. The Software may only be used on one and the same development computer.Additional license fees are also due if the Software is used on multiple development computers. (b)VDS Technologies hereby grants to Licensee a worldwide, non-exclusive license to distribute the portions of the Software designated as "Redistributable Code" royalty-free as an integral part of Licensee's own software products and make one copy of the Software in machine-readable form for backup purposes. Resale or sublicensing is prohibited. (d) VDS Technologies retains title to the Software in all forms whatsoever. (e) All rights not expressly granted herein are reserved by VDS Technologies. (f) VDS Technologies and ActualMap are trademarks of VDS Technologies. 2. REDISTRIBUTABLE CODE. The following portions of the Software are designated as "Redistributable Code": AspMapNET.dll, AspMapUtil.dll. 3. DISTRIBUTION REQUIREMENTS. Licensee has a royalty-free right to distribute and use the Software only if: (a) Licensee distributes only the portions of the Software designated as "Redistributable Code". (b) Licensee uses and distributes the "Redistributable Code" only in conjunction with the binary files that make use of them as a part of Licensee's software product. (c) Licensee does not expose, document or make public the Software API (Application Programming Interface). (d) End users of Licensee are not allowed to use the Software for development purposes or further redistribution and deployment. (e) Licensee does not wrap or distribute the Software in a component that can be used for development purposes on any application, tool, environment or container. (f) Licensee does not reverse engineer, copy, duplicate or distribute the license schema that is needed to use the Software in a design, development or runtime environment. (g) Licensee does not disassemble, decompile or reverse engineer the Software or any portions of it. (h) Licensee's software product may not, in the reasonable opinion of VDS Technologies, compete with a VDS Technologies product. (i) Licensee does not use the VDS Technologies or Software name, logo or trademark to market Licensee's software product. (j) Licensee agrees to indemnify, hold harmless, and defend VDS Technologies and its suppliers from and against any and all claims or lawsuits including attorney's fees that arise or result from the use or distribution of Licensee's software product. If any of the conditions set forth in paragraphs above are breached, such breach shall constitute an unlawful use of the Software, and Licensee shall be prosecuted to the full extent of the law. Furthermore, Licensee shall be liable to VDS Technologies f or all damages caused by such breach and unlawful use of the software, including attorney's fees and costs incurred in any action, lawsuit or claim brought or filed to redress the breach of this agreement. 4. LICENSE FEES. This license shall have no force or effect unless and until Licensee shall have submitted to VDS Technologies all applicable license fees in full. All such fees are exclusive of any taxes, duties, licenses, fees, excises or tariffs now or hereafter imposed on Licensee's production, licensing, sale, transportation, import, export or use of the Software or Licensee Programs, all of which shall be the responsibility of Licensee, other than taxes attributable to VDS Technologies net income. 3. WARRANTY. THIS SOFTWARE IS PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL VDS TECNOLOGIES BE LIABLE FOR AN Y DAMAGES WHATSOEVER INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, LOSS OF BUSINESS PROFITS OR SPECIAL DAMAGES. 4. BREACH AND TERMINATION. (a) This License is effective until terminated. This License may be terminated by the non-defaulting party if either party materially fails to perform or comply with this License or any provision hereof. (b) Upon termination of this Agreement, all rights and licenses granted hereunder shall immediately terminate and all Software and other Proprietary Information of VDS Technologies in the possession of Licensee or under its control, shall be immediately returned to VDS Technologies. End user licenses properly granted pursuant to this Agreement and prior to termination of this Agreement shall not be diminished or abridged by the termination of this Agreement. 5. GOVERNING LAW. The rights and obligations under this Agreement shall be governed by the laws of the State of Delaware excluding its conflicts of law rules and United States law and international treaties governing copyrights. 6. GOVERNMENT END USERS. (a) If this Software is acquired by or on behalf of a unit or agency of the United States Government through Licensee, Licensee hereby undertakes to insert in its contract with the Government the appropriate restricted rights language. (b) If this Software is acquired by or on behalf of a unit or agency of the United States Government directly from VDS Technologies, this provision applies. This Software: (i) was developed at private expense, and no part of it was developed with government funds; (ii) is a trade secret of VDS Technologies for all purposes of the Freedom of Information Act; (iii) is "commercial computer software" subject to limited utilization as provided in the contract between vendor and the government ent ity; and (iv) in all respects is proprietary data belonging solely to VDS Technologies. (c) For units of the Department of Defense (DOD), this Software is sold only with "Restricted Rights" as that term is defined in the DOD Supplement to the Federal Acquisition Regulations ("DFARS") 52.227-7013 (c)(1)(ii) and use, duplication or disclosure is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause of DFARS 52.227-7013.
